2.2 Service Availability
While we strive to ensure that our services are available 24/7, we do not guarantee uninterrupted access to our servers or services. Scheduled maintenance or updates may result in temporary downtime. In addition, unforeseen issues such as server failures, cyber-attacks, or natural disasters may cause interruptions in service.
2.3 Limitation of Liability
Lollystick Ltd. is not liable for any direct, indirect, incidental, or consequential damages that result from the use of, or the inability to use, our services, including but not limited to:
- Any loss of data
- Loss of profits
- Loss of business opportunities
3. Client Responsibilities
3.1 Content and Data
You are responsible for ensuring that all content provided to us for use on your website is:
- Accurate
- Lawful
- Does not infringe on any third-party rights
You retain all rights to the content you provide.
3.2 Backup of Data
While we take precautions to protect your data, you are responsible for maintaining your own backups of any data, files, or content you provide to us.
3.3 Compliance with Laws
You agree to comply with all applicable laws, regulations, and industry standards while using our services.
3.4 Authority to Protect Website Performance
Lollystick Ltd. reserves the right to overrule any client decisions regarding the design, development, or functionality of the website if such decisions are deemed to be harmful to the website’s performance, security, or overall user experience. In such cases, we will communicate the potential risks to you and work to find an alternative solution that meets your objectives while maintaining optimal website performance.
4. Payment Terms
4.1 Fees
All fees for services provided by Lollystick Ltd. will be outlined in a separate agreement or invoice. Payment terms are as specified in that agreement or invoice.
4.2 Late Payments
Failure to pay invoices on time may result in:
- Suspension or termination of services
- Charging of interest on overdue payments at the maximum rate permitted by law.
- A minimum reactivation fee of £45.
4.3 Project Stall Fee
If a project stalls for more than six (6) months due to delays on your part, such as failure to provide necessary content, materials, or approvals, Lollystick Ltd. reserves the right to charge a reactivation fee to resume work on the project. The amount of this fee will be specified in the agreement or determined based on the scope and duration of the stall.
4.4 Impact of Late Payments on Project Timeline
Late payment of the initial deposit required to start the project will delay the commencement of work until the payment is received. Similarly, late payment of the final balance due before the website launch will delay the website’s go-live date until full payment is received.
4.5 Additional Service Fees
Lollystick is committed to ensuring that your website remains online and operational. For issues arising from our servers or hosting services, no additional charges will apply. However, in the following cases, additional service fees will be incurred:
- Repairs required due to client actions or neglect (e.g., installing incompatible plugins or systems).
- Resolving issues caused by outdated website installations or systems.
- Troubleshooting or repairs for websites hosted on external platforms (e.g., Wix, Squarespace, GoDaddy).
- Fixing issues on websites built by third-party agencies.
- Resolving problems with email services hosted externally OR dependent on forwarding to public email providers (e.g., Gmail, Yahoo, Hotmail).
5. Intellectual Property
5.1 Ownership
All intellectual property rights in the website design, code, and related materials created by Lollystick Ltd. remain the property of Lollystick Ltd. until full payment has been received.
5.2 Licensing
Upon full payment, Lollystick Ltd. grants you a non-exclusive, non-transferable license to use the website and any related materials as agreed.
6. Termination
6.1 Termination by Client
You may terminate our services at any time by providing written notice. Upon termination, you are responsible for any outstanding payments for services rendered up to the date of termination. Lollystick will not provide refunds to clients who cancel within their current yearly subscription.
6.2 Termination by Lollystick Ltd.
Lollystick Ltd. reserves the right to terminate services immediately if:
- You breach any of these Terms and Conditions
- You engage in illegal activities
- You fail to make payments as agreed
7. Indemnification
You agree to indemnify, defend, and hold harmless Lollystick Ltd., its officers, directors, employees, and agents from any and all claims, liabilities, damages, losses, or expenses (including legal fees) arising out of:
- Your use of our services
- Your violation of these Terms and Conditions
- Your infringement of any third-party rights
8. Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or related to these Terms and Conditions shall be subject to the exclusive jurisdiction of the courts located in England and Wales.
